2. PURPOSE AND SCOPE

These General Terms and Conditions govern all sales by BAEKHO TRADING. Placing an order implies unreserved acceptance of these terms. They form the basis of commercial negotiations and supersede any document from the Customer (including its own terms of purchase).

3. PRODUCTS AND AVAILABILITY

3.1 Description and Composition

The products comply with European standards. Photographs are for illustrative purposes only. The complete INCI list is on the packaging. The customer (reseller) is responsible for verifying this composition before resale.

3.2 Supply disruptions (South Korea)

The Customer acknowledges that the products originate from South Korea. In the event of a shortage of raw materials or a production delay at the Korean manufacturer, delivery times will be automatically extended. A restocking delay does not justify order cancellation, damages, or late payment penalties.

4. ORDERS AND PAYMENT

4.1 Validation

The sale is final upon receipt of full payment into the Seller's account. The Seller may cancel any order in the event of a prior dispute or non-payment within 7 days.

4.2 Wholesale Terms

Unless otherwise agreed in writing, professional orders are payable in full before shipment by bank transfer.

4.3 Late Payments (B2B Penalty Clause)

Any delay will automatically incur late payment interest (3 times the legal rate) and a fixed penalty of €40 per invoice (Directive 2011/7/EU). Failure to pay a single invoice will render all others immediately due and payable (acceleration of payment).

5. TRANSPORT AND TRANSFER OF RISK (EX-WORKS)

The goods are sold EXW Arlon . The transfer of risk to the Customer occurs upon delivery of the packages to the carrier at our premises.

5.2 Risks and Reception

The products travel at the sole risk of the Customer .

• Procedure: The Customer must check the package in front of the delivery person and make specific handwritten reservations on the delivery note in case of damage.

• Time limit: Any claim (breakage, missing items) must be confirmed by email within 48 hours . After this period, the products are considered compliant.

6. DISTRIBUTION CONTROL (MARKETPLACES)

• Prohibition: Resale on Amazon, eBay, TikTok Shop, Vinted or any other third-party marketplace is strictly prohibited without prior written agreement from BAEKHO TRADING.

• Dr. Melaxin restriction: Delivery and resale are strictly prohibited in France and the Netherlands . The customer assumes sole legal responsibility in case of violation.

7. RIGHT OF WITHDRAWAL AND RETURNS

7.1 Exclusion (B2B and Trade Shows)

The right of withdrawal does not apply to professional clients, nor to sales made at stands during fairs/exhibitions.

7.2 Hygiene Exceptions (Art. VI.53, 12° CDE)

No unsealed, opened or used cosmetic products will be accepted for health and hygiene reasons.

7.3 Return Conditions

If a return is exceptionally accepted (sealed product), the customer is responsible for all costs. A thorough inspection will be carried out before any refund is issued.

8. GUARANTEES AND LIABILITY

• Warranty: Limited to replacement or refund of the pre-tax value of the defective product.
